SECURE INTERNET SHOPPING TERMS AND CONDITIONS
 
Welcome and thank you for choosing to use Secure Internet Shopping. Please read these Terms and Conditions carefully before using Secure Internet Shopping. In these Terms and Conditions, “we”, “us” or “our” means (depending on jurisdiction) The Standard Bank of South Africa Limited (Reg. No.: 1962/000738/06), Standard Bank SARL (Mozambique) (Reg. No.: n"4.179,flsLivroC/11 NUIT400021260), and Standard Bank of Namibia Limited (Reg. No.: 78/01799). “You”, “your” or “yours” means the user of Secure Internet Shopping.
 
1 Description of Secure Internet Shopping
 
Secure Internet Shopping provides you with a way of increasing security in online transactions by reducing the chances of fraud in those transactions. We have already enrolled you for Secure Internet Shopping, a free service, and you simply need to activate yourself for the service. Activation for Secure Internet Shopping involves providing personal information to us, which is then used to confirm your identity in connection with future online transactions. Your Activation Data, as defined in clause 3.5, and other personal information is not shared with the online retail merchant.
 
2 Acceptance of Terms and Conditions
 
  2.1
Secure Internet Shopping provides its services to you subject to the following Terms and Conditions, which may be updated by us from time to time without notice to you. You can review the most current version of the Terms and Conditions at any time at (depending on jurisdiction) www.standardbank.co.za, www.standardbank.co.mz, and www.standardbank.com.na. In addition, when using Secure Internet Shopping services, you shall be subject to any guidelines or rules applicable to Secure Internet Shopping that may be posted from time to time at the same web site.
  2.2
You agree that the selection of “YES” at the bottom of these Terms and Conditions will represent your acceptance of these Terms and Conditions and that continued use of Secure Internet Shopping after you have been advised of revisions to these Terms and Conditions shall constitute your agreement to such revised Terms and Conditions and any applicable guidelines or rules.
  2.3
Unless explicitly stated otherwise, any new features that augment or enhance Secure Internet Shopping shall be subject to these Terms and Conditions.
  2.4
We reserve the right at any time and from time to time (without liability) to modify or discontinue, temporarily or permanently, Secure Internet Shopping (or any part thereof) with or without notice.
  2.5  
Your credit card and/or cheque card terms and conditions relating to Internet shopping shall apply. For your convenience these may be viewed at (depending on jurisdiction) www.standardbank.co.za, www.standardbank.co.mz , and www.standardbank.com.na.
 
3 Activation
 
  3.1
In order to use Secure Internet Shopping, you must provide certain information to us that allows us to validate your identity and verify that you are the owner of or an authorised user on the account. The information that you provide will be validated against information that we already have on file that is associated with your account, or it may be validated against information maintained by an independent third party.
  3.2
If you are unable to provide adequate information for us to validate your identity, we have the right to refuse you activation for Secure Internet Shopping. You warrant that the information is correct and that you have the legal right to use all of the credit cards and/or cheque cards that you activate for Secure Internet Shopping. Your participation, or failure to participate, does not affect your credit card and/or cheque card status.
  3.3
In order to use Secure Internet Shopping, you must have the ability to access the World Wide Web and must pay any service fees associated with such access. In addition, you must have the equipment necessary to make such a connection to the World Wide Web, including a computer and modem or other access device.
  3.4
By accepting these Terms and Conditions you authorise us to retain certain information about you, your credit card and/or cheque card, and to use this information in accordance with our Privacy Policy (see clause 4 below). Your information will be associated with a unique identifier for you (your credit card and/or cheque card number and your name).
  3.5
You agree to provide true, accurate, current and complete information about yourself as prompted by the Secure Internet Shopping activation form (“Activation Data”), and maintain and promptly update the Activation Data to keep it true, accurate, current and complete.
  3.6
If you provide any Activation Data that is untrue, inaccurate, not current or complete, or if we have reasonable grounds to suspect that your Activation Data is untrue, inaccurate, not current or complete, we have the right to suspend, terminate or refuse your current or future use of Secure Internet Shopping.
  3.7
Should you have a question regarding the Secure Internet Shopping activation process or a transaction using Secure Internet Shopping, you should direct that question to (depending on jurisdiction) 0861-201-311 (South Africa) and +2711 241-1311 (Mozambique and Namibia).
 
4 Privacy Policy
 
  4.1
The Secure Internet Shopping service stores your Activation Data. Your Activation Data will not be shared with online retail merchants.
  4.2

You acknowledge and agree that Secure Internet Shopping may keep your Activation Data and also may disclose your Activation Data if required to do so by Applicable Law, as defined in clause 6.9, in the good faith belief that such preservation or disclosure is permitted by Applicable Law, or is reasonably necessary to:

   
4.2.1 comply with legal process; or
   
4.2.2 enforce these Terms and Conditions.
  4.3
We subscribe to the Code of Banking Practice and the Activation Data is subject to the protections therein set out.
 
5 Password and Security
 
You are solely responsible for maintaining the confidentiality of your password, Activation Data and other verification information established by you with Secure Internet Shopping, all activities that occur using your password, Activation Data or other verification information supplied to or established by you with Secure Internet Shopping. You agree not to transfer or sell your use of, or access to, Secure Internet Shopping to any third party. You agree immediately to notify Secure Internet Shopping of any unauthorised use of your password or other verification information, or any other breach of security.
 
6 Your conduct
 
Your agree not to:
  6.1
impersonate any person or entity using Secure Internet Shopping;
  6.2
upload, post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment used by Secure Internet Shopping;
  6.3

spam or flood the Secure Internet Shopping Website or service;

  6.4
modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the Secure Internet Shopping Website or service or the Software, as defined in clause 10;
  6.5

remove any copyright, trademark or other proprietary material contained in Secure Internet Shopping;

  6.6

“frame” or “mirror” any part of the Secure Internet Shopping Website or service without our prior written authorisation;

  6.7

use any robot, spider, site search/retrieval application, or any other manual or automatic device or process to retrieve, index, “data mine” or in any way reproduce or circumvent the navigational structure or presentation of the Secure Internet Shopping Website or service or its contents;

  6.8
otherwise interfere with, or disrupt, Secure Internet Shopping or servers or networks connected to Secure Internet Shopping, or violate these Terms and Conditions or any requirements, procedures, policies or regulations of Secure Internet Shopping or of any networks connected to Secure Internet Shopping; or
  6.9
intentionally or unintentionally violate any applicable local, national or international statues, regulations, regulatory guidelines and judicial or administrative interpretations, or any rules or requirements established by us (all of which shall constitute “Applicable Law”) in connection with your use of Secure Internet Shopping.
 
7 Liability
 
  7.1
You agree that we shall not be liable to you or to any third party for any modification, suspension or discontinuance of Secure Internet Shopping.
  7.2

Under no circumstances will we be liable for consequential, incidental, special or indirect losses or other damages, such as (for illustration purposes only) any damage to your computer or telephone service resulting from your use of the Secure Internet Shopping service.

  7.3

We assume no responsibility for, and will not be liable for, any damages to, or any viruses which may affect your computer equipment or other property on account of your access to, use of, or downloading from the Secure Internet Shopping Website.

  7.4
We will not be liable for any financial loss and/or damages that you may suffer as a result of any transaction concluded by you and/or those authorised by you to use your Activation Data, your password or other verification information for Secure Internet Shopping.
 
8 Termination
 
If you want to end your ability to use Secure Internet Shopping, you must call us on (depending on jurisdiction) 0861-201-311 ( South Africa) and +2711 241-1311 ( Mozambique and Namibia) so that your password and Activation Data with Secure Internet Shopping can be cancelled. Any purchase you made using Secure Internet Shopping prior to cancellation will not be affected. Should you cancel your password and/or Activation Data, you will not be able to purchase goods and services using Secure Internet Shopping.
 
9 Dealings with Merchants
 

Your correspondence or business dealings with, or participation in promotions of, online retail merchants on or through Secure Internet Shopping, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such merchant. You agree that we shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. You understand that use of Secure Internet Shopping does not, in any way, indicate that we recommend or endorse any merchant, regardless of whether the merchant participates in the Secure Internet Shopping service. For example, Secure Internet Shopping does not verify the identity or status of the merchant or the quality of the merchant’s goods or services.

 
10 Our Proprietary Rights
 
  10.1
You acknowledge and agree that Secure Internet Shopping and any necessary software used in connection with Secure Internet Shopping by us (“Software”) contain proprietary and confidential information that is protected by applicable intellectual property and other Applicable Laws. You acknowledge and agree that you do not acquire any ownership rights by using the Software and that we retain all right, title, and interest in, and to, the Software and all intellectual property rights to the Software. You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on Secure Internet Shopping or the Software, in whole or in part.
  10.2

We are providing you a non-exclusive right to use the Secure Internet Shopping services and any related software, and any future upgrades we elect to provide, in accordance with the terms and conditions of these Terms and Conditions.

  10.3
“Standard Bank” is our trademark. You agree not to display, alter or use in any manner, the trademark “Standard Bank”, without our prior written permission. “Secure Internet Shopping”, and other Secure Internet Shopping logos, products and names are our trademarks (the “Marks”). You agree not to display, alter or use in any manner the Marks, without our prior written permission.
 
11 Disclaimer of Warranties
 
  11.1

You expressly understand and agree that any software obtained through the use of Secure Internet Shopping is downloaded and used at your own discretion and risk and that except as otherwise provides in these Terms and Conditions, you will be solely responsible for any damage to your computer system or loss of data that results from the download or use of any such software or other materials through Secure Internet Shopping.

  11.2

Except as otherwise required by any Applicable Law, we make no representations or warranties about Secure Internet Shopping of any kind, express or implied, including any warranties as to merchantability or fitness for a particular purpose. Applicable Law may not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

  11.3

You agree to indemnify and hold us harmless from and against any claim or demand, including reasonable attorneys’ fees, made by any third party against us due to, or arising out of, Activation Data you submit, post to or transmit through Secure Internet Shopping, your use of Secure Internet Shopping, your connection to Secure Internet Shopping, or your violation of these Terms and Conditions or Applicable Law. A concession that we may give you, will not affect our rights against you in terms of these Terms and Conditions.

 
12 Notice
 
Notices to you may be made via email, sms or regular mail to any address or number in your Activation Data or other information that you have provided to us. You may also be notified of changes to these Terms and Conditions or other matters by notices displayed on or links to notices displayed on (depending on jurisdiction) www.standardbank.co.za, www.standardbank.co.mz, and www.standardbank.com.na.
 
13 General Information
 
  13.1

These Terms and Conditions constitute the entire agreement between you and us regarding your use of Secure Internet Shopping and govern your use of Secure Internet Shopping superseding any prior agreements between you and us regarding your use of Secure Internet Shopping.

  13.2

These Terms and Conditions and the relationship between you and us shall be governed by the laws of South Africa without regard to its conflict-of-laws provisions. You and us agree to submit to the personal and exclusive jurisdiction of the courts located within South Africa.

  13.3

Our failure to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, the other provisions of these Terms and Conditions shall remain in full force and effect.

 
14 Age and Responsibility
 
  14.1

You represent that you are of sufficient legal age to use Secure Internet Shopping and to create binding legal obligations for any liability you may incur as a result of the use of Secure Internet Shopping. You understand that you are financially responsible for all uses of Secure Internet Shopping by you and those authorised by you to use your Activation Data, your password or other verification information.

  14.2

You must not use Secure Internet Shopping to conclude illegal transactions. It is your responsibility to ensure that any transactions you conclude using Secure Internet Shopping are lawful.

  14.3

It is your responsibility to ensure that those authorised by you to use your Activation Data, your password or other verification information for Secure Internet Shopping complies with these Terms and Conditions.
